Please read these Terms & Conditions carefully before using the www.adeeb-online.com website and the "Adeeb Online" mobile application on Apple Store and Google Play Store operated by Yellow Stone Technologies.

Your access to and use of our website and/or mobile application is conditioned on your acceptance of and compliance with these terms. These conditions apply to all visitors, users and others who access or use the website and/or mobile application.

By accessing or using our service you agree to be bound by these terms and conditions. If you disagree with any part of the terms, it would be preferred that you do not access our service.

 

1.      INTRODUCTION

1.1.   Who we are: Yellow Stone Technologies E-Commerce is a limited liability company established in the United Arab Emirates (UAE). Our primary objectives include promotion, development and advancement of Urdu through various media. Our contact details are available at the Contact Us page.

1.2.   Our Product: "Adeeb Online" is an online Web Portal and a Mobile Application (owned by Yellow Stone Technologies and maintained by our partner company IDEA2R Private Limited) available in the Apple Store and Play Store. It contains Free and Premium books to be read either online or offline depending upon the type of a user.

1.3.   Product Objectives: The object of our product "Adeeb Online" is to promote Urdu language readership by providing Urdu content on modern reading platforms, improve the economy of Urdu by increasing readership, minimizing piracy; thus, generating value for our partners. Additionally, we aim to become the largest digital repository of Urdu books.

1.4.   Disclaimer: Yellow Stone Technologies E-Commerce LTD. does not represent or endorse the accuracy or reliability of any of the information, content or advertisements (collectively, the "Materials") contained on, distributed through, or linked, downloaded or accessed from any of the services contained on our website and mobile application (the "Service"), nor the quality of any products, information or other materials displayed, purchased, or obtained by you as a result of an advertisement or any other information or offer in or in connection with the Service (the "Products"). You hereby acknowledge that any reliance upon any Materials shall be at your sole risk. Yellow Stone Technologies reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of the Service or the Materials.

1.5.   Registration: In order to be able to use the complete library of our Product (i.e. Adeeb Online), a one-time registration is required (see Section 4, below). However, certain content (e.g. information and advertisement) including general descriptions of our product and objectives, can be viewed without registration.

 

2.      VALIDITY Of TERMS

2.1.    Validity: Yellow Stone Technologies offers "Adeeb Online" on the basis of these T&C. The user consents to the validity of these T&C and any agreements incorporated therein by reference either by (i) using the Products and/or Services, in case they are available without registration, or (ii) registration, in case they require an account. These T&C shall be valid until cancelled in the currently valid version as of September 12, 2019.

2.2.   Prerequisite: Neither the registration nor the use of the complete spectrum of Yellow Stone Technologies Product shall be possible without consent to these T&C.

2.3.   Extent: These T&C shall apply to all points of access, including (sub-) domains and mobile applications, for Yellow Stone Technologies Products.

 

3.      SUBJECT OF THE AGREEMENT

3.1.   Currently, Yellow Stone Technologies essentially offers its users the following features and information at our Web Portal and Mobile Application:

3.1.1.      Personal profile page, including personal details

3.1.2.      Send, Accept, and Reject Friends Requests received within the product

3.1.3.      Request Book to be made available for ordering

3.1.4.      Request a Book not currently available in the library

3.1.5.      Browse a Book and review its details

3.1.6.      Read a Book online depending upon internet availability

3.1.7.      Download a Book for offline reading (only for Premium Users)

3.1.8.      Navigate through the Book using multiple options

3.1.9.      Add unlimited Bookmarks in a Book

3.1.10.   Provide Rating and Feedback on a Book

3.2.   Applications for Apple iPhones, Android phones, and other smartphones on a global scale, that can be used both isolated on the smartphone as well as in connection with the Platform.

3.3.   Subject to the user's consent, relevant data is transmitted from the smartphone, tablet, etc. to the Platform and shared with other social networks (e.g., Facebook), respectively. Please see our Privacy Policy for more information.

3.4.   The user hereby confirms the user's knowledge that as a result of the transmission of data from the smartphone to the Platform, certain costs of the mobile carrier will be incurred that have to be borne by the user.

3.5.   The mobile applications are only available to users of smartphones and tablets etc.

3.6.   Additional terms and conditions on the part of the mobile phone providers apply.

 

4.     REGISTRATION: The Yellow Stone Technologies product "Adeeb Online" requires a one-time, free registration. Users may register through Mobile App or Web Portal, by either creating a new account, or providing Facebook or Google credentials.

4.1.         For purposes of registration, the user shall provide the details requested by the registration form completely and correctly, unless such details are marked as voluntary. Registration is only possible by using the user's civil name, i.e., the use of fantasy names or pseudonyms is not possible

4.2.         Registration via Facebook Connect or via Google Sign-In requires the user to confirm that the selected details, which the user previously provided on Facebook or Google, shall be adopted by the "Adeeb Online".

4.3.         Free Membership: The "Free Membership" makes only basic contents (i.e. books) available to users. A user once registered automatically considered under "Free Membership" unless that user does not choose to be a "Premium Member"

4.4.         Premium Membership: A registered user may choose to become a "Premium Member" by going through a "Premium Membership" process after selecting "Membership Duration" and after successful payment of "Subscription Fee" for respective duration

4.5.         Membership Durations: There are four types of durations available to opt from, in order to become a "Premium Member"

4.5.1.      Monthly

4.5.2.      Quarterly

4.5.3.      Bi-Annual

4.5.4.      Annual

4.6.         Downloading: "Premium Members" will be having access to books downloading for off-line reading, however limit to downloads will be applied on the basis of premium membership duration as per the following:

4.6.1.      Monthly     01 book

4.6.2.      Quarterly     02 books

4.6.3.      Bi-Annual     03 books

4.6.4.      Annual     05 books

4.7.         A "Premium User" may delete an already downloaded book to be enabled to download another book for offline reading, means the limits mentioned in clause 4.6 will be applicable on no. of books that can be downloaded at a time

4.8.         Subscription Fee: In order to become a "Premium Member" a registered user must pay the "Subscription Fee" according to the country/region they are registered.

4.9.         Minors: Only persons legally capable to enter into agreements on their own behalf shall be permitted to register with "Adeeb Online".

4.10.      Consequences of Registration

4.10.1.   By registering, the user confirms his/her knowledge and the unlimited recognition of the content of these T&C as well as that all registration data is true, accurate, current, and complete, and he/she will keep all registration information up to date.

4.10.2.   Each user shall register with "Adeeb Online" once only, and confirms with his/her registration that he/she has not registered an account with "Adeeb Online" before and has not deleted a previously activated user account.

4.10.3.   Following successful registration, the user (then the "Registered User") can log on to the Platform by either (i) entering his/her email address and the chosen password, or (ii) accomplishing the login via Facebook Connect or Google Sign-In.

 

5.      Rights of Yellow Stone Technologies

5.1.   Yellow Stone Technologies reserves the right to reject users without giving reasons. In this event, any transmitted details will be deleted promptly.

5.2.   If you provide any information that is untrue, inaccurate, not current or incomplete, or Yellow Stone Technologies has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Yellow Stone Technologies has the right to suspend or terminate your account immediately and without prior notice and to refuse any and all current or future use of the Premium Services (or any portion thereof), without the Registered User being entitled to a refund of any previously paid amount.

5.3.   In any event, Yellow Stone Technologies reserves the right to contact you at any time to verify your registration data.

 

6.      User Identity: Yellow Stone Technologies E-Commerce LTD. is not responsible for the actual identity of the user, since personal identification via the internet is possible only to a limited extent. Each user shall itself confirm the identity of other users prior to entering into any form of interaction with such users, e.g., adding as a friend or by writing messages.

 

7.      Fraud protection

7.1.   You must protect your account from unauthorized and fraudulent use. Please notify us immediately by email at customer-service@adeebonline.com of any unauthorized or fraudulent use of your account, or if you suspect that your account may be at risk.

7.2.   Yellow Stone Technologies E-Commerce LTD. will not refund any amounts paid by you to Yellow Stone Technologies before you report an unauthorized or fraudulent use of your account.

7.3.   Yellow Stone Technologies has the right to close or cancel the account of any Registered User in the event of any unauthorized or fraudulent use of the account.

 

8.      Promotions and Free Offers: Yellow Stone Technologies may run promotions and free offers, which may be subject to additional terms or restrictions. These promotions and offers may not be transferred between users.

 

9.      Subscription Requirement: In order to use the "Adeeb Online" Premium Service for Premium Members, you must (i) be a Registered User, and (ii) pay the stipulated price, including applicable VAT, if any, and any other fees or amounts associated with the Premium Services, by credit card, via Appstore, or any other form of payment accepted by Yellow Stone Technologies (the "Subscription").

10.   Types and Prices of Subscriptions: "Adeeb Online" offers different Subscription periods so that you can choose the one that best satisfies your needs. The different Subscription types and applicable prices are available for viewing here: www.adeeb-online.com/premium-membership or in the App Stores. All prices are subject to change at Yellow Stone Technologies discretion at any time. Any price changes will be announced on the Platform or in the App Stores.

11.   Payment:

11.1.   Payment is made in advance for each subscription period. In other words, you can select the subscription period that best satisfies your needs to access the Premium Services. Once you signed up and paid for the Subscription, the selected validity period will be associated with your account.

11.2.   Payments for the entire term of your Premium Membership shall be due immediately upon invoicing. Payment can be made using different online payment systems. If Yellow Stone Technologies is unable to collect any fees from an account designated by the user due to lack of funds, the user shall bear all costs arising therefrom, including bank charges related to any debit entries or similar charges. Yellow Stone Technologies may deliver invoices and payment reminders to the user by email.

11.3.   Payment once made for a subscription period cannot be refunded.

12.   Automatic Renewal: When your Subscription period expires, your credit card will be charged automatically with the standard subscription price which was valid at the time of Subscription, i.e., special offer prices do not apply in this case, and your Subscription will be renewed for the same period of time unless you cancel your Subscription, at least prior to the expiration of your current Subscription. The standard subscription price can be viewed on the Platform and in the App Stores.

13.   Cancellation: You may cancel your Subscription to "Adeeb Online" Premium Service for Premium Members at any time by initiating the cancellation via the App Store. However, Yellow Stone Technologies will not refund previously paid amounts.

14.   Expiration. Subject to Clause 12 (i.e. Automatic Renewal), for lack of a user's cancellation of such user's Subscription, each Subscription period ends only upon expiration of the agreed-upon time period, and regardless of the user's actual use of the "Adeeb Online" Premium Service for Premium Members during such period. Each user can check the length of the current Subscription period by viewing such user's account information.

15.   TERMINATION

15.1.   General: Each user shall have the right to terminate the use of Yellow Stone Technologies products at any time via his/her account settings. Yellow Stone Technologies shall confirm such termination vis-a-vis the user.

15.2.   Yellow Stone Technologies Termination Right: Additionally, Yellow Stone Technologies reserves the right to terminate a user's membership for important reasons, such as due to gross breaches of the user's obligations as set forth in these T&C and ancillary agreements.

15.3.   Further Information: Please see section 8.2 of our Privacy Policy for further information on the deletion of your account.

 

16.   USER OBLIGATIONS AND CONDUCT: Each user of the Yellow Stone Technologies Products must:

16.1.   truthfully provide, and keep current and complete, his/her registration details, and must not pass on such details to third parties;

16.2.   only save, publish, transmit and distribute such content, e.g., photos, pictures, text, representations or videos, if the user is authorized to pass on such content, i.e., (i) if the user has the exclusive right to use such content or, (ii) in the event that the user is not the owner of such rights with respect to content provided by it, if the user guarantees to Yellow Stone Technologies that all required rights, licenses, permits etc. have been validly obtained. This shall also apply to content subject to intellectual property rights, such as trade names and trademarks. The user shall be exclusively responsible for such content;

16.3.   not save, publish, transmit or distribute any content that is racist, insulting, discriminating, denunciating, sexual, glorifies violence or is otherwise illegal;

16.4.   not to send chain letters or messages to more than one recipient at any one time, i.e., the user must not send mass emails or spam;

16.5.   not carry out any disrupting interferences in the Yellow Stone Technologies network, including the Yellow Stone Technologies Products, by use of technical or electronic aids, such as hacking attempts, brute force attacks, planting of viruses/worms/trojans and other disrupting attempts regarding Yellow Stone Technologies software or hardware;

16.6.   not copy, distribute, transmit or collect by use of technical aids, e.g., by crawlers or bots, accessible details without the consent of the respective owner;

16.7.   provide prompt notice via email to customer-service@adeebonline.com of any detected breaches of the aforementioned obligations;

16.8.   diligently care for the personal details and only allow such person access to their own details that are close to the user; and

16.9.   regularly save important personal details externally, e.g., on an external storage medium, hard drive or in the cloud. Yellow Stone Technologies shall not be responsible for any lost or impaired details.

 

17.   BREACH OF USER OBLIGATIONS

17.1.   Sanctions. In order to ensure the proper and reliable provision of Yellow Stone Technologies Products, Yellow Stone Technologies imposes the following sanctions upon breach obligations by a user:

17.1.1.   warning;

17.1.2.   deletion of content;

17.1.3.   temporary deactivation of user account; and

17.1.4.   cancellation (irrevocable deactivation).

17.2.   The type of sanction shall depend on the purpose, impact, and type of the breach in light of Yellow Stone Technologies and the user's interests.

17.3.   Cancellation: In the event a user account shall be cancelled in accordance with this Clause, the respective user shall not be permitted to register again.

 

18.   CONTENT

18.1.   General: Yellow Stone Technologies permits its Registered Users to use the offered portfolio of Yellow Stone Technologies Products in accordance with statutory law and these T&C, in order to upload, save, publish, distribute, transmit, and share content with other users.

18.2.   Tracking: The user consents that, as a result of the automatic evaluation of the way such user uses the platform, it may be exposed to certain offers and/or marketing messages tailored to such user. Please see our Privacy Policy concerning tracking for marketing purposes.

18.3.   Disclosure. Yellow Stone Technologies shall have the right to save content or disclose such content to third parties, to the extent this is required by law, or legally permissible and reasonably necessary, in order to

18.3.1.   comply with statutory law, or court or administrative orders;

18.3.2.   ensure compliance with these T&C;

18.3.3.   react to claims of breaches of law raised by third parties; or

18.3.4.   safeguard the rights, property or personal safety of Yellow Stone Technologies, its users and the general public.

18.4.   Use of Content: The user grants Yellow Stone Technologies E-Commerce LTD. the irrevocable, free, non-exclusive and unlimited right to use all content generated, transmitted, saved and published by such user. Accordingly, Yellow Stone Technologies shall have the right to use, irrespective of the type of usage, all content both as part of the Platform and any other activity of Yellow Stone Technologies or any company affiliated with Yellow Stone Technologies E-Commerce LTD. This shall include the right to change and edit such content, unless such changes or edits impair material interests of the user. In this connection, the user waives, to the extent legally permissible, all intellectual property rights. However, to the extent feasible, in the event that Yellow Stone Technologies uses content created by a user outside the Yellow Stone Technologies Products, Yellow Stone Technologies shall note that such content was created by the user.

18.5.   Ownership: Yellow Stone Technologies does not claim ownership of any content created by users and will not supervise such content.

18.6.   Deletion: Yellow Stone Technologies reserves the right to delete content created by users, such as routes, photos, events or comments without giving reasons. In this event, the user shall be notified and, in the event of a breach of these T&C, may be sanctioned in accordance with Clause 18.

18.7.   Inaccurate Content: Yellow Stone Technologies shall not be responsible for inaccurate content created by users, e.g., feedback regarding a book etc.

 

19.  COPYRIGHT POLICY

19.1.   We respond to notices of alleged copyright infringement. If you think by any means - your copyrights are being violated, please notify us. To file a copyright infringement notification with us, you will need to send a written communication to us at piracy-control@adeebonline.com , with all of the details mentioned in clause 20.2 to 20.9 and organized in a proper manner to justify your case.

19.2.   Include a statement telling us that you have found Content on our product "Adeeb Online" which you believe infringes your copyright (for example, "I hereby confirm that I believe the Content identified below infringes my copyright").

19.3.   Tell us which country your copyright applies to.

19.4.   Give us the description and title of the Content concerned and the full URL for its access page (if available).

19.5.   Explain to us how the Content infringes your copyright (e.g. the book is copied; you have exclusive rights to the book, etc.)

19.6.   Identify the type (e.g. a film, a piece of music, a book, etc.) and details of (e.g. title, publisher, dates, etc.) the copyright work which you own the rights in, and which you believe has been infringed. If this information is available on the internet, it is helpful to send us a link.

19.7.   Let us have the complete contact information (including an email address) so that we can get in touch with you to resolve your complaint at the earliest possible.

19.8.   Include the following statement: "I have a good faith belief that use of the copyrighted work described above is not authorized by the copyright owner (or by a third party who is legally entitled to do so on behalf of the copyright owner) and is not otherwise permitted by law. I swear that the information contained in this notification is accurate and that I am the copyright owner or have an exclusive right in law to bring infringement proceedings with respect to its use."

19.9.   Sign the notice. If you are providing notice by e-mail, a scanned physical signature or a valid electronic signature will be accepted. Make sure you know whether the content that you have seen on our product "Adeeb Online" infringes your copyright. If you are not sure what your rights are, or whether your copyright has been infringed, you should check with a legal adviser first. Be aware that there may be adverse legal consequences if you make a false or bad faith allegation of copyright infringement by using this process. Please also note that the information provided in this legal notice may be forwarded to the person who provided the allegedly infringing content.

 

20.   PRIVACY POLICY: Please see the separate Privacy Policy available on www.adeeb-online.com/privacy-policy that is an integral part of this agreement.

 

21.   REPRESENTATIONS AND WARRANTIES

21.1.   Limitation. Yellow Stone Technologies does not claim or warrant that

21.1.1.   the Yellow Stone Technologies Products will be available at all times, or that they and the necessary hardware and software will be completely free from errors; and

21.1.2.   the transmission of data via other systems, in particular the internet and telecommunication networks, is not tracked, recorded or distorted by third parties.

21.2.   Own Risk: The user uses the Yellow Stone Technologies Products exclusively at his/her own risk. This applies, without limitation, to

21.2.1.   the related use of any hardware, including, but not limited to the respective smartphone;

21.2.2.   downloading of the user's own and third party content; and

21.2.3.   any use by the user of data created or provided by Yellow Stone Technologies, including, but not limited to recommendations for actions etc. The user explicitly acknowledges that any such data or content may contain errors, and Yellow Stone Technologies does not, to the extent permitted by law, assume any responsibility for the correctness of such data.

21.3.   External Content. Additionally, Yellow Stone Technologies does not make any representations or warranties with respect to external links, banners or other information and marketing offers that may be made accessible to the user. Any contractual arrangements entered into between the user and a third party provider, e.g., via linked websites or banners, result in a contractual relationship between such user and the third party provider only. Yellow Stone Technologies does not make any representations or warranties with respect to products or services of third party providers.

21.4.   Warranty Disclaimer: YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, YELLOW STONE TECHNOLOGIES E-COMMERCE LTD., ITS OFFICERS, TRUSTEES, PARTNERS, EMPLOYEES, AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. TO THE FULLEST EXTENT PERMITTED BY LAW, YELLOW STONE TECHNOLOGIES E-COMMERCE LTD. EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. YELLOW STONE TECHNOLOGIES E-COMMERCE LTD. DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND YELLOW STONE TECHNOLOGIES E-COMMERCE LTD. WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

 

22.   LIMITATION OF LIABILITY

22.1.   TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YELLOW STONE TECHNOLOGIES E-COMMERCE LTD., ITS OFFICERS, TRUSTEES, PARTNERS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22.2.   WE UNDERSTAND THAT, IN SOME JURISDICTIONS, WARRANTIES, DISCLAIMERS AND CONDITIONS MAY APPLY THAT CANNOT BE LEGALLY EXCLUDED, IF THAT IS TRUE IN YOUR JURISDICTION, THEN TO THE EXTENT PERMITTED BY LAW, YELLOW STONE TECHNOLOGIES E-COMMERCE LTD. LIMITS ITS LIABILITY FOR ANY CLAIMS UNDER THOSE WARRANTIES OR CONDITIONS TO EITHER SUPPLYING YOU THE SERVICES AGAIN (OR THE COST OF SUPPLYING YOU THE SERVICES AGAIN).

22.3.   YOU SPECIFICALLY ACKNOWLEDGE THAT YELLOW STONE TECHNOLOGIES E-COMMERCE LTD. SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

22.4.   Content: Unless required by statutory law, neither Yellow Stone Technologies nor any of its business affiliates shall be liable for damages resulting from the use of content made accessible through the use of the online platform or other forms of use of the Yellow Stone Technologies Products. This also applies to damages resulting from errors, problems, viruses or loss of data.

22.5.   Downloads: Yellow Stone Technologies assumes no liability for downloaded material or material obtained as a consequence of using the Yellow Stone Technologies Products. The Registered User is solely responsible for any damages caused by such materials to his computer or smart phone system or for information that is lost as a consequence of downloading materials from any of the Yellow Stone Technologies Products.

22.6.   Conflicts: The Registered User is exclusively liable for any claims of lawsuits of any kind in any way derived from or related to conflicts with other users. The Registered User acknowledges and accepts that Yellow Stone Technologies will not, under any circumstances, be liable for the acts and omissions of other users, including the damages associated with such acts or omissions.

22.7.   Yellow Stone Technologies makes no representations that the Service is appropriate or available for use in your location. Those who access or use the Service from their jurisdictions do so at their own volition and are responsible for compliance with local law.

 

23.   INDEMNIFICATION BY USERS

23.1.   To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Yellow Stone Technologies E-Commerce LTD., its officers, partners, trustees, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these terms and conditions and your use of the Service.

23.2.   Indemnification: The user shall indemnify Yellow Stone Technologies E-Commerce LTD. for all claims raised by third parties as a result of an infringement of their rights by the user in connection with content uploaded to or any of the Yellow Stone Technologies Products by such user or as a result of any other usage by such user of applications available from Yellow Stone Technologies.

23.3.   Support: In the event that a claim is brought by a third party, the user shall promptly, truthfully and completely make available to Yellow Stone Technologies all information available to such user that may be necessary to verify such claim and defend against it.

 

24.   CHANGES TO THE T&C

24.1.   General: Yellow Stone Technologies E-Commerce LTD. reserves the right to amend these T&C from time to time for a number of reasons including, without limitation, for commercial reasons, to comply with applicable law or regulations, or for customer service reasons. At any time, the then-current version of these T&C is available for viewing on the Platform as well as in the apps.

24.2.   Changes: If the Company does not obtain your specific consent to the changes in the Yellow Stone Technologies Products, the Company will inform you of any changes at least four weeks prior to the effective date of the changes via email to the address provided during Registration ("Amendment Information"). From receiving the Amendment Information, you will have an objection period of four weeks.

 

The Amendment Information will entail (i) the updated T&C, (ii) the effective date of the changes, (iii) a four-week objection period, (iv) information on the consequences of omitting an objection.

 

If you do not object to the changes, the updated T&C will be deemed accepted.

 

In the event that you object to the changes, the Company is entitled to terminate the user contract and delete your user account, under consideration of your interests if continuing of the contractual relationship under the scope of the current terms and conditions is not possible or unreasonable for the Company.

24.3.   Written Form: Subject to Clause 24.1 to 24.2, any changes to these T&C must be made in writing. No ancillary oral arrangements exist.

 

25.   MISCELLANEOUS

25.1.   Severability Clause: In the event that individual provisions of these T&C shall be or become invalid, all other terms and conditions shall remain in full force and effect.

25.2.   Governing Law and Jurisdiction: These T&C and all contractual relations and litigation between the users and Yellow Stone Technologies E-Commerce LTD. shall be governed by United Arab Emirates (UAE) law applicable to Free Zone registered companies.

 

26.   ACCEPTANCE

26.1.   You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these terms and conditions, and to abide by and comply with these terms and conditions. If you are under 18 years of age, then please do not use the Service.

26.2.   We provide these terms and conditions with our Service so that you know what terms apply to your use. You acknowledge that we have given you a reasonable opportunity to review these terms and conditions, and that you have agreed to it.
